During the shareholders’ meeting held in Milano on July 1oth, 2018, the shareholders approved with unanimous vote the business combination with Fine Foods.

Due to the high participation of shareholders, who voted in favor of the Business Combination, the approval in not anymore conditioned to withdrawals.

Once the combination is finalized, the Board of Directors of the company will be comprised of seven members:

• Marco Francesco Eigenmann, Giorgio Ferraris, Federico Oriani and Adriano Pala Ciurlo nominated by Eigenfin and
• Fulvio Conti, Paolo Ferrario and Marco Costaguta nominated by Innova’s promoters.

De Loitte & Touch will be the auditing company of the new entity.
